General Terms & Conditions
Georalis Consulting GmbH — as of 2026
1. Scope
These General Terms and Conditions apply to all consulting, organisational, management and support services provided by Georalis Consulting GmbH to companies, organisations, institutions and non-profit entities. Deviating conditions of the client apply only if confirmed in writing by Georalis Consulting GmbH.
2. Subject Matter
Georalis Consulting GmbH provides services in the areas of strategy and organisational development, process optimisation, management and executive support, operational assistance, as well as training and workshops. The services are fundamentally advisory and support services; no specific economic outcome is guaranteed.
3. Contract Formation
A contract is formed upon written acceptance of an offer, by order confirmation, or by commencement of services by agreement. Offers from Georalis Consulting GmbH are valid for 30 days unless otherwise stated.
4. Scope of Services
The specific scope of services is defined by the respective offer, project agreement or written coordination between the parties. Changes, extensions or additional services require a separate agreement.
Georalis Consulting GmbH is entitled to have individual parts of the services performed by qualified subcontractors or cooperation partners, provided this does not compromise the interests of the client.
5. Client Obligations
The client ensures that all information, documents, systems, access and contact persons required for the execution of the engagement are made available in a timely manner. Delays caused by insufficient cooperation extend agreed deadlines accordingly and may result in additional costs.
6. Fees and Payment Terms
Unless otherwise agreed, billing is based on the agreed day rates, hourly rates or fixed prices. For on-site appointments, travel costs are calculated based on distance from the location of Georalis Consulting GmbH as follows:
- 0–50 km: no travel costs
- 51–100 km: €0.50 per kilometre (outward and return journey)
- 101–200 km: €0.70 per kilometre (outward and return journey)
- over 200 km: actual travel costs (e.g. train, flight, hotel and subsistence)
Further project-related incidental costs are invoiced at the applicable rates.
Payments are due within 14 days without deduction. In the event of late payment, Georalis Consulting GmbH reserves the right to withhold further services or charge reminder fees.
7. Service Times and Availability
Appointments are agreed by mutual consent. Georalis Consulting GmbH may reschedule appointments for important reasons (e.g. illness, force majeure, unavailability of key persons); the client will be informed without delay. No claim for damages arises from rescheduled appointments.
8. Confidentiality
Georalis Consulting GmbH treats all information and documents provided in the course of the engagement as confidential. This obligation continues beyond the end of the contract. The client also undertakes not to disclose confidential information, methods and documents of Georalis Consulting GmbH to third parties.
9. Intellectual Property and Usage Rights
All concepts, analyses, templates, presentations, documents and materials created by Georalis Consulting GmbH are protected by copyright. The client receives a simple, non-transferable right of use for internal purposes. Disclosure to third parties or publication requires written consent.
10. Liability
Georalis Consulting GmbH is only liable for damages caused by intentional or grossly negligent conduct. Liability for indirect damages, consequential damages, lost profit or for business decisions made by the client is excluded. Georalis Consulting GmbH accepts no liability for content, decisions or outcomes based on information provided.
11. Data Protection
Personal data is processed exclusively in accordance with applicable legal provisions. The client is responsible for the lawfulness of the data it provides. Further details are governed by the Privacy Policy.
12. Force Majeure
Events such as illness, technical failures, political events, governmental restrictions, strikes or comparable circumstances constitute force majeure. In such cases, Georalis Consulting GmbH is entitled to postpone or adapt services without any resulting claims for damages.
13. Cancellations and Rescheduling
- (1) Cancellations of scheduled services are free of charge up to 7 days before the agreed appointment.
- (2) For cancellations 7–3 days before the appointment, 50% of the agreed service fee will be charged.
- (3) For cancellations within 48 hours before the appointment, 100% of the service fee will be charged.
- (4) Rescheduling is treated as a cancellation within the meaning of items (1)–(3). The original appointment date remains decisive for calculating cancellation deadlines. A rescheduling does not reset the deadlines.
- (5) For interim management mandates: reserved deployment days on which the client postpones or prevents the service will be charged at the full agreed day rate regardless of the reason.
14. Final Provisions
Austrian law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from or in connection with these GTC or contracts resulting therefrom is — to the extent permitted by law — the registered office of Georalis Consulting GmbH.
Amendments and supplements to these GTC require written form. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the original provision.
15. Special Provisions for Interim Management
15.1 Role and Scope of Responsibility
The interim manager assumes a temporary management or leadership function within the client's organisation without thereby acquiring any corporate officer status. The activity is carried out exclusively as an external service provider within the scope of the agreed tasks and areas of responsibility.
15.2 No Employment Relationship / Independent Activity
The engagement does not create an employment relationship within the meaning of labour law. The interim manager acts independently, in their own name, is free from instructions in carrying out the agreed services and is not organisationally integrated into the client's workflows. The client bears no obligations as an employer.
15.3 Decision-Making Authority and Limitations
The interim manager acts within the previously agreed authority and areas of responsibility. Decisions with financial implications, personnel decisions and legally binding commitments may only be made with prior coordination and approval from the client.
15.4 Client Obligations
The client ensures that the interim manager receives all necessary information, systems, authorisations, documents, decision-making channels and relevant contacts to carry out the activity properly. Delays due to insufficient cooperation extend deadlines and may cause additional costs.
15.5 Liability in Interim Management
The interim manager is liable exclusively for intent and gross negligence. Liability for business decisions of the client, for indirect damages, consequential damages, production losses, data loss, lost profit or downstream risks is excluded. Georalis Consulting GmbH accepts no liability for damages resulting from incomplete, incorrect or late information provided by the client.
15.6 Documentation and Handover
At the end of the mandate, the interim manager prepares a structured handover of relevant information, projects and areas of responsibility. The scope of the handover is agreed in advance and is guided by the respective project status.
15.7 Fees and Incidental Costs in Interim Management
Fees are generally based on day rates or monthly flat fees. For on-site appointments, the following travel cost rules apply:
- 0–50 km: no travel costs
- 51–100 km: €0.50 per kilometre (outward and return journey)
- 101–200 km: €0.70 per kilometre (outward and return journey)
- over 200 km: actual travel costs (e.g. train, flight, hotel and subsistence)
Further project-related incidental costs (e.g. materials, room hire, fees, tools) are invoiced by prior agreement and at the applicable rates.
15.8 Term and Termination of Interim Mandates
Interim mandates may include a minimum term. Unless otherwise agreed, the notice period is 14 days to the end of the month. The right to extraordinary termination for good cause remains unaffected.
